Investitionen in Unternehmen oder Beteiligungen in China durch ausländische natürliche , juristische Personen oder Personenhandelsgesellschaften sind nicht grundsätzlich frei zulässig, sondern unterliegen einer Vielzahl besonderer gesetzlicher Regelungen, die durch die Regierung
Der "Catalog for the Guidance of Foreign Investment Industries (amended in 2004) wurde durch das Ministry of Commerce und die State Development and Reform Commission (SDRC) am 30. November 2004 mit Wirkung zum 01. Januar 2005 geändert und nach den neuen Bestimmungen und Ausführungsvorschriften nach dem Foreign Trade Law 2004 angepaßt. Der Catalog wurde seit der ersten Fassung von 1995 damit zum vierten male geändert.
Die Festlegungen des Catalogs sind für potentielle Investoren aus dem Ausland der Maßstab überhaupt, ob ihr Projekt grundsätzlich gewünscht und gefördert ("encouraged"), beschränkt ("restricted") oder aber gar gänzlich unzulässig ist ("prohibided and permitted").
Demgemäß enthält der Catalog eine Dreiteilung der Industrien und Wirtschaftsbereiche, die Ausnahmen kaum zulassen und vor einem Investment beachtet werden müssen. Im Verhältnis zum Catalog 2002 enthält der neue Catalog eine Beschränkung der grundsätzlich geförderten Investitionsbereiche ("encouraged" and "permitted") von nunmehr 256 von bisher 262.
Allerdings sind anstatt 80 beschränkten Gebieten nunmehr nur noch 77 beschränkt und nur unter besonderen Bedingungen zugänglich. Zur Förderung der Automobilindustrie wurden im neuen Catalog vor allem Bereiche des Fahrzeugs- und Ausrüstungsbaus, der Forschung und Entwicklung, Schlüsselteilen, Werkzeugen und Autoteilen umgegliedert und nunmehr weiter geöffnet. Gleiches gilt im Bereich der elektronischen und optischen Industrie. Die Öffnung der Serviceindustrie wirkt sich nunmehr auch im lange unzugänglichen Medienbereich.
Die Produktion und der Vertrieb von Radio- und TV-Programmen sowie Filmen wurde aus dem Bereich "prohibited" nunmehr dem "restricted" Bereich zugeordnet. Das strenge Gebot der zwingenden Anteilsmehrheit auf chinesischer Seite befindet sich bereits in der Auflösung, soweit es um den Vertrieb geht.
Zur Sicherung einer geordneten Marktentwicklung sollen durch den Katalog bestimmte Industrien vor einer Überinvestition geschützt werden. So werden Investitionen im Bereich der Aluminiumindustrie ebenso streng beschränkt wie die weitere Errichtung von Themenparks, die große und für die industrielle Entwicklung gewichtige Landflächen in Anspruch nehmen, die besser anders verwandt werden können.
Die bisher allein chinesischen Unternehmen vorbehaltene und Ausländern verbotene Marktforschung ist nunmehr im Bereich der "restricted" Investments in Gestalt von Joint Ventures bzw. CJVs möglich, bei einer Dominanz chinesischer Unternehmen.
Die Erhebung sozialer oder gesellschaftlicher Daten ist ausdrücklich verboten und bleibt chinesischen Unternehmen oder Einrichtungen vorbehalten. Produktionen, Dienstleistungen und andere Investitionen mit Bezug zur Verteidigung oder nationalen Sicherheit unterliegen grundsätzlich den Bereichen "restricted" und "prohibided".
Der Anhang des Catalog 2005 bestimmt die Möglichkeiten und Fristen für die Beteiligung oder aber gänzliche Beherrschung 100%tiger Tochtergesellschaften durch ausländische Investoren in China nach Maßgabe des WTO-Beitrittsprotokolls, wonach die wesentlichen Beschränkungen des Marktzugangs, mit Ausnahme der Ausländern auch weiterhin verbotenen Bereiche, am 11. Dezember 2006 wegfallen.

The Catalogue for the Guidance of Foreign Investment Industries which was promulgated by the former State Development Planning Commission, the former State Economy and Irade Commission and the former Ministry of Foreign Trade and Economic Cooperation on March 11, 2002 shall be annulled at the same time.

Telecommunication Companies(1) Value-added services and paging services in basic telecommunication services: Foreign investments are permitted no later than Dec. 11, 2001 with the proportion of foreign investment not exceeding 30%. The proportion of foreign investment in joint venture shall not exceed 49% no later than Dec. 11. 2002, and shall be allowed to reach 50% no later than Dec. 11, 2003.
(2) Mobile voice and data services in basic telecommunication services; Foreign investments are permitted no later than Dec. 11, 2001 with the proportion of foreign investment not exceeding 25%. The proportion of foreign investment in joint venture shall not exceed 35% no later than Dec. 11, 2002 and shall be allowed to reach 49% no later than Dec. 11, 2004.

The distribution of chemical fertilizers, processed oil and crude oil are permitted no later than Dec. 11, 2006.
(2) Retailing services (excluding tobacco): Foreign invested enterprises are permitted but can not engage in the distribution of books, newspapers, magazines, pharmaceutical products, pesticides, mulching films, chemical fertilizers, processed oil. The proportion of foreign investment can reach 50% no later than Dec. 11, 2002, and can engage in the distribution of books, newspapers and magazines. Foreign majority ownership will be permitted no later than Dec. 11, 2003. And wholly foreign-owned enterprises will be permitted no later than Dec. 11, 2004, and can engage in the distribution of pharmaceutical products, pesticides, mulching films, and processed oil. The distribution of chemical fertilizers are permitted no later than Dec. 11, 2006. Foreign investors can not take majority ownership of a Chain-store that has over 30 branch stores and engages in the distribution of automobiles (the limitation will be lift no later than Dec. 11, 2006), books, newspapers, magazines, pharmaceutical products, pesticides, mulching films, processed oil, chemical fertilizers, grain, vegetable oil, sugar, tobacco, cotton.
(3) Franchising and wholesale or retail trade services away from a fixed location: Foreign invested enterprises are permitted no later than Dec. 11, 2004.
6. The distribution of audiovisual products (excluding movies): Foreign investments shall be permitted no later than Dec.11, 2004.
7. Goods leasing companies: Foreign majority ownership shall be permitted no later than Dec.11, 2002. Wholly foreign owned enterprises shall be permitted no later than Dec. 11, 2004.
8. Agencies(1) Ship agencies: The proportion of foreign investment shall not exceed 49%.
(2) Freight forwarding agencies (excluding those services specially reserved for Chinese postal authorities): The proportion of foreign investment shall not exceed 50% (not exceed 49% in the case of courier services). 9. Insurance(1) Non-life insurance companies: The proportion of foreign investments shall not exceed 51%. Wholly foreign owned enterprises shall be permitted no later than Dec. 11, 2003.
(2) Life insurance companies: The proportion of foreign investments shall not exceed 50%.
10. Securities company, securities investment fund management companies(1) Securities companies: Foreign investments shall be permitted no later than Dec. 11, 2004 with the proportion of foreign investment not exceeding 1/3. Securities investment fund management companies: The proportion of foreign investment shall not exceed 33%. The proportion of foreign investment shall be allowed to reach 49% no later than Dec. 11, 2004.
